Terms and Conditions

I. Scope of Application

These terms apply exclusively to business transactions with companies, legal entities under public law, or special funds under public law. They apply to all current and future business relationships.

II. Offers and Contract Formation

Customer orders are considered offers that we can accept within two weeks. Contract processing is done by phone, in writing, or electronically.

III. Prices and Payment

• All prices are ex works plus VAT
• Payment is due immediately upon receipt of goods unless otherwise agreed
• Default interest: 8% above the base rate per annum

IV. Delivery Time

• Delivery dates are generally non-binding unless agreed in writing
• Partial deliveries are permissible
• Force majeure (strikes, war, pandemics) extends delivery times appropriately

V. Retention of Title

We retain ownership of delivered goods until full payment of all claims from the purchase contract.

VI. Warranty and Defect Claims

• Warranty period: 12 months from delivery
• Buyer must properly inspect goods and report defects (§ 377 HGB)
• We will remedy defects or deliver replacement goods at our discretion

VII. Liability

We are liable according to statutory provisions for intent and gross negligence, injury to life, body or health, and under the Product Liability Act. Liability for slight negligence is limited to breach of essential contractual obligations.

VIII. Applicable Law and Jurisdiction

• German law applies, excluding UN sales law (CISG)
• Place of jurisdiction: Location of our registered office
• We comply with applicable data protection regulations (GDPR)
